Subscription license agreement for dcoder-terminal

Version 2.0 - September 8, 2026

Licensor: DANIEL HENRIQUE MOURÃO FALCI DESENVOLVIMENTO DE SOFTWARE LTDA., a company organized under the laws of Brazil, CNPJ 55.073.754/0001-63, with its registered office in Belo Horizonte, Minas Gerais, Brazil (“LICENSOR”, “we”, “us”) Contact: contato@dcodertools.com Website: https://www.dcodertools.com

READ BEFORE INSTALLING OR USING. By purchasing a subscription, installing, activating or using dcoder-terminal (the “SOFTWARE”), you (the “LICENSEE”, “you”) agree to this agreement. If you accept on behalf of a company or other organization, you represent that you have authority to bind it, and “you” means that organization. If you do not agree, do not install or use the SOFTWARE.

1. The Software

1.1. The SOFTWARE is a desktop application that runs, on your machine, third-party command-line tools - among them programming agents based on language models - and organizes their work through terminals, a task board and related features. It includes the companion programs distributed with it (such as ddx and dcoder-memory).

1.2. The SOFTWARE runs tools that you install and authenticate separately. It does not include, resell or provide access to any language model or third-party service.

1.3. The SOFTWARE is under active development. Features may be added, changed or removed between versions.

2. Subscription and Payment

2.1. Use of the SOFTWARE requires an active paid subscription. There is no free tier and no trial period.

2.2. Subscriptions are sold through Paddle.com Market Limited or its affiliates (“Paddle”), which acts as the merchant of record. Paddle’s terms govern the purchase, payment, invoicing, taxes and any refund. Your order with Paddle is the commercial transaction; this agreement governs your use of the SOFTWARE.

2.3. Fees are those displayed at checkout, with taxes as shown there. Subscriptions renew automatically at the end of each billing period until cancelled.

2.4. We may change the fees for future renewal periods with at least 30 days’ notice before the renewal in which the change applies. A price that was expressly designated as locked at the time of your purchase remains locked for as long as that subscription stays continuously active. It does not carry over to a new subscription started after a lapse.

2.5. You may cancel at any time through the account area or through Paddle. The license remains in force until the end of the billing period already paid, after which the SOFTWARE stops opening. Except where required by applicable law or by Paddle’s refund policy, fees already paid are not refunded.

2.6. If a renewal payment fails, Paddle will retry it. The license remains in force while Paddle’s retry process is ongoing. If that process fails, the subscription is cancelled and the license ends.

3. License Grant and Seats

3.1. Subject to this agreement and to an active subscription, we grant you a non-exclusive, non-transferable, non-sublicensable, revocable license to install and use the SOFTWARE for your internal business or personal purposes.

3.2. A subscription includes the number of seats you purchased. A seat is the right to have one instance of the SOFTWARE running at a time. Installing and registering the SOFTWARE on any number of machines is free of charge; what a seat limits is the number of machines running the SOFTWARE simultaneously.

3.3. The license key issued for your subscription may be used by you and, if you are an organization, by your employees and contractors working on your behalf. You are responsible for all use of the SOFTWARE under your license key and for the compliance of everyone who uses it.

3.4. You may increase or decrease the number of seats. Changes take effect and are billed as described at the time you make the change.

4. License Verification and Connectivity

4.1. The SOFTWARE verifies your license with our servers. It needs to reach our servers when it starts, and it renews its seat periodically while it runs.

4.2. If our servers cannot be reached, the SOFTWARE keeps working for up to 72 hours from its last successful verification. After that period without contact, it stops running agents until contact is restored.

4.3. If our servers reply that no seat is available, that the subscription has ended or that the installation is not recognized, the SOFTWARE warns you and, after a short delay, stops running agents and terminates the processes it is running - including agents in the middle of a task. YOU ACKNOWLEDGE THIS BEHAVIOUR AND AGREE NOT TO RELY ON THE SOFTWARE FOR WORK THAT CANNOT TOLERATE SUCH AN INTERRUPTION WITHOUT SAFEGUARDS OF YOUR OWN.

4.4. Verification may fail for reasons outside our control, including network conditions, firewalls, proxies, system clock errors or other software on your machine. We are not responsible for such failures.

5. Restrictions

You may not, and may not allow anyone else to:

  • (a) redistribute, resell, rent, lease, lend, sublicense or otherwise make the SOFTWARE or your license key available to any third party outside your organization;
  • (b) provide the SOFTWARE to third parties as a hosted, managed or shared service;
  • (c) copy the SOFTWARE except as needed to install and use it under this agreement, and for backup;
  • (d) decompile, disassemble, reverse engineer or attempt to derive the source code of the SOFTWARE, except to the extent expressly permitted by mandatory law;
  • (e) circumvent, disable, tamper with or attempt to defeat license verification, seat limits, activation or any other technical protection;
  • (f) remove, alter or obscure any notice of ownership, trademark or license;
  • (g) use the SOFTWARE in violation of applicable law or to infringe the rights of third parties.

6. Third-Party Tools and Services

6.1. The SOFTWARE runs and integrates third-party tools and services - such as programming agents, language model providers, version control systems, and speech or transcription services. They require your own accounts, credentials, licenses or subscriptions, which you obtain and maintain at your own cost and responsibility.

6.2. Use of those tools and services may generate charges made directly by their providers, including for consumption of models, APIs or infrastructure. Any cost, token count or estimate displayed by the SOFTWARE is informational only and may differ from what the provider actually charges. We are not liable for any such charges.

6.3. We do not control, and are not responsible for, the availability, behaviour, output, security, data handling, terms, limits, pricing, modification or discontinuation of any third-party tool or service. If a provider changes or discontinues a tool, the related features of the SOFTWARE may stop working.

6.4. You are responsible for complying with the terms of every third-party tool and service you use through the SOFTWARE.

7. Autonomous Agents

7.1. The SOFTWARE is designed to run agents with a high degree of autonomy, including several in parallel and without supervision, according to the permissions, settings, instructions and tasks you define.

7.2. Depending on your configuration, agents may create, modify, move or delete files; change source code and repositories; run commands and programs on the operating system; install or remove software; perform version control operations; access networks and external services; use credentials available in the environment; and incur costs with third-party providers.

7.3. You are solely responsible for: the environment where agents run; the permissions, directories, repositories, credentials and services you make available to them; the instructions and tasks you give them; reviewing their actions and results; and keeping adequate backups of files, data and repositories.

7.4. Actions, outputs, decisions or suggestions produced by agents, models or third-party tools are not acts, advice or recommendations of the LICENSOR. We do not review, control or warrant them.

7.5. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE ARE NOT LIABLE FOR ANY LOSS OR CORRUPTION OF DATA, UNWANTED CHANGES TO CODE OR SYSTEMS, EXECUTION OF COMMANDS, DISCLOSURE OF INFORMATION, CHARGES BY THIRD PARTIES, OR ANY OTHER EFFECT OF AGENTS OR TOOLS RUN THROUGH THE SOFTWARE.

8. Data and Privacy

8.1. The SOFTWARE stores settings, sessions, histories, task boards and work artifacts locally on your machine. It does not send us the content of your prompts, terminals, files, source code, repositories or work artifacts.

8.2. For license verification, the SOFTWARE sends our servers only: the license key (once, at activation), a device token, a hash of a machine identifier, the name of the machine, the version of the SOFTWARE, the seat held, and the time of each check. The SOFTWARE also requests a version manifest from our servers so it can tell you when an update is available.

8.3. For your subscription and account, we receive from Paddle your name, e-mail address, the language of your checkout and the status of your subscription. Payment card details are held by Paddle and never reach us. When you use the account area on our website, we also record the time, network address and browser of your sessions.

8.4. We use this data to operate the license, provide the account area, send transactional e-mails about your subscription, and comply with legal obligations. Our privacy policy at https://www.dcodertools.com/privacy describes this in more detail.

8.5. Third-party tools and services you configure - including speech and language model providers - receive and process data according to their own features and terms. You are responsible for assessing them before use.

9. Updates and Support

9.1. We may release updates at our discretion. The SOFTWARE checks for new versions and tells you; it does not install anything by itself.

9.2. We may retire old versions, or change how the SOFTWARE talks to our servers, with reasonable notice. Continued use may require installing the current version.

9.3. We provide support by e-mail on a reasonable-effort basis. This agreement creates no obligation of support, maintenance, fixes, response times, availability levels, or the continued existence of any feature.

10. Intellectual Property

10.1. The SOFTWARE is licensed, not sold. We and our licensors retain all rights, title and interest in the SOFTWARE, including source and executable code, interface, design, documentation, and the names and marks dcoder and dcoder-terminal. No right is granted except as expressly stated here.

10.2. Third-party and open-source components distributed with the SOFTWARE are listed in the NOTICE.md file and remain under their own licenses, which prevail over this agreement for those components.

10.3. If you send us suggestions, ideas, bug reports or other feedback, we may use it freely, without compensation or attribution, and it grants you no right in the SOFTWARE. Contributions of source code are not covered by this clause and depend on a separate agreement.

11. No Warranty

11.1. THE SOFTWARE IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS, WITHOUT WARRANTY OF ANY KIND, EXPRESS, IMPLIED OR STATUTORY - INCLUDING ANY WARRANTY OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, ACCURACY, OR UNINTERRUPTED OR ERROR-FREE OPERATION - TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW.

11.2. Without limiting the above, we do not warrant that the SOFTWARE will be compatible with any particular tool, model, operating system or service; that agents run through it will produce correct, safe or useful results; or that license verification will always succeed.

11.3. You are responsible for assessing whether the SOFTWARE is suitable for your use, including in production environments, critical projects, or repositories whose loss or alteration could cause harm.

12. Limitation of Liability

12.1. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, BUSINESS, OPPORTUNITY, GOODWILL OR DATA, COST OF RECOVERY OR OF SUBSTITUTE SERVICES, CHARGES BY THIRD PARTIES, OR INTERRUPTION OF WORK, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

12.2. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL AGGREGATE LIABILITY ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE SOFTWARE SHALL NOT EXCEED THE AMOUNT YOU PAID FOR THE SUBSCRIPTION IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

12.3. Nothing in this agreement excludes or limits any liability that cannot be excluded or limited under applicable law - including liability for wilful misconduct and, where applicable, gross negligence - or the non-waivable rights of consumers under the law of their place of residence.

12.4. The limitations in this section apply to the LICENSOR and to anyone acting on the LICENSOR’s behalf. They are an essential basis of this agreement: the fees reflect this allocation of risk.

13. Indemnification

To the extent permitted by applicable law, you will defend and indemnify us against claims, damages, costs and expenses (including reasonable legal fees) brought by third parties and arising from your use of the SOFTWARE in breach of this agreement, from the actions of agents or tools run under your configuration, or from your violation of any law or third-party right.

14. Term and Termination

14.1. This agreement takes effect when you first accept it, purchase, install, activate or use the SOFTWARE, and continues while your subscription is active.

14.2. We may terminate this agreement and disable your license key immediately if you breach it - in particular sections 3.3, 5 or 7 - or attempt fraud or tampering with the licensing mechanisms. In that case no refund is due, except where required by applicable law.

14.3. We may discontinue the SOFTWARE or the licensing service with at least 60 days’ notice. In that case we will refund, pro rata, any prepaid fees covering the period after discontinuation, and that refund is your sole remedy.

14.4. Upon termination or expiry, the license ends, the SOFTWARE stops opening, and you must stop using it and remove the copies under your control. Your files, boards and data on disk remain yours and readable without the SOFTWARE.

14.5. Sections 5, 6, 7, 8, 10, 11, 12, 13, 14.4 and 16 survive termination.

15. Account Area

15.1. We provide an account area on our website to view your subscription, your registered machines and the seats in use, to change seats, and to reach Paddle’s portal for invoices and payment details. Access uses your license key or another credential we make available; keep it confidential and tell us about any unauthorized use.

15.2. The account area is provided on the same “as is” basis as the SOFTWARE and may be unavailable at times. Its unavailability does not affect your license.

16. General

16.1. Governing law. This agreement is governed by the laws of the Federative Republic of Brazil, without regard to conflict-of-law rules. The United Nations Convention on Contracts for the International Sale of Goods does not apply.

16.2. Jurisdiction. The courts of Belo Horizonte, Minas Gerais, Brazil, have jurisdiction over disputes arising from this agreement, except where mandatory law grants you the right to bring or defend a claim in the courts of your place of residence.

16.3. Compliance. You represent that you are not located in, and will not use the SOFTWARE in, a country subject to a comprehensive embargo, and that you are not a person with whom we are prohibited from dealing under applicable sanctions laws. You will comply with applicable export control laws.

16.4. Capacity. You must be of legal age and have capacity to enter into this agreement. The SOFTWARE is intended for professional use.

16.5. Assignment. You may not assign or transfer this agreement or the license without our written consent. We may assign this agreement to a successor of the SOFTWARE’s business.

16.6. Changes. We may update this agreement for future versions of the SOFTWARE or future renewal periods, with at least 30 days’ notice by e-mail or on our website. Changes that reduce your rights do not apply to a billing period already paid; continuing after a renewal means you accept the current version. Nothing in a later version reduces a locked price under section 2.4.

16.7. Severability and waiver. If any provision is held invalid, the remainder stays in force and the provision is enforced to the maximum extent permitted. A failure to enforce a provision is not a waiver of it.

16.8. Entire agreement. This agreement, together with NOTICE.md and Paddle’s terms for the purchase, is the entire agreement between you and us about the SOFTWARE and supersedes prior agreements, including any free evaluation license.

16.9. Language. This agreement is written in English. Any translation is provided for convenience only; the English text prevails.

16.10. No relationship. Nothing here creates a partnership, agency, joint venture, employment or fiduciary relationship between the parties.
